zetVisions: Mr. Kessler, you have accompanied numerous integrations in your career. Which case do you particularly remember?
Kessler: One particularly challenging case was the merger of two medium-sized technology companies. The difficulty lay not only in the different corporate cultures, but above all in the consolidation of the data. Imagine having to merge two completely different IT landscapes - it's like trying to solve a puzzle where half the pieces come from a different game. These challenges can slow down the M&A process and lead to significant risks if not managed effectively.
zetVisions: That sounds like a complex task. What was the biggest challenge?
Kessler: One of the biggest challenges was the efficient use and integration of existing data, especially investment data. Accurate information is essential in M&A processes. Fortunately, the company already had a legal entity management in place, which gave us a huge advantage. Nevertheless, it was a challenge to harmonize this data with the new structures.
zetVisions: How did you approach this challenge?
Kessler: The key to success was the effective use of the existing legal entity management. This existing solution enabled us to quickly consolidate and analyze all relevant data. The system acted as a powerful catalyst that accelerated and clarified the entire M&A process. From the outset, departments such as M&A, legal and finance had a solid database for planning and implementing the new shareholding structures.
zetVisions: Can you give a specific example of how this system contributed to the success of the merger?
Kessler: Of course. Thanks to the existing legal entity management, we were able to retrieve and analyze all relevant information on the existing investments within a very short time. All the data for the due diligence review was available, for example a complete overview of the investment portfolio, capital structures, annual financial statements and tax documents. This enabled us to identify potential synergies and possible compliance risks at an early stage. We were able to shorten the planning phase by, I estimate, around 30% and optimally integrate the company into the existing investment network. It was like a well-prepared chess move - we had all the pieces optimally positioned before the game even began.
zetVisions: Interesting. What trends are you currently observing in the M&A sector, particularly in data management?
Kessler: One significant trend is the use of AI in data management. AI enables us to recognize patterns and correlations in large amounts of data that might otherwise be overlooked. In a recent project, an AI-supported analysis revealed unexpected connections between seemingly independent parts of the company. This led to an optimized integration strategy and an increase in value of around 15%. It was as if we suddenly had X-ray glasses for company data. However, an up-to-date and complete database is crucial for a successful AI analysis - without this, the results are not very meaningful. This once again demonstrates the central role of powerful legal entity management.
